Terms of Use

These Terms of Use ("Terms") govern your access to and use of Evonli, a software service for building and publishing event programs ("Service"), operated by Red Barn Software ("Red Barn", "we", "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Evonli helps organizations transform unstructured event materials (PDFs, documents, images) into a structured, mobile-friendly published program. The Service includes editor-side tools driven by an AI assistant ("Iris"), an attendee-facing published view, engagement tracking, and related features. We may add, change, or remove features over time.

2. Your Account

You must provide accurate information when creating an account. You're responsible for keeping your password confidential and for all activity under your account. Notify us promptly at hello@redbarnsoftware.com if you suspect unauthorized access.

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.

3. Your Content

You retain all rights to the content you upload to or create within the Service ("Your Content"). You grant us a non-exclusive license to host, process, transmit, and display Your Content as needed to provide the Service to you and your designated audience.

You represent that Your Content does not infringe anyone's rights and complies with our Acceptable Use Policy.

4. AI-Generated Content

The Service uses third-party AI models (currently OpenAI) to extract structured data from your uploads, propose entity matches, and draft copy. AI output may be inaccurate, incomplete, or stylistically off — every AI proposal surfaces for your review before it becomes part of your published program. You are responsible for verifying AI-generated content before publishing.

5. Service Content & Ownership

The Service itself — the software, design, branding, and the Iris and Mae personas — is owned by Red Barn Software. Nothing in these Terms grants you any right to our trademarks, logos, or proprietary materials beyond the limited right to use the Service.

6. Fees

The Service is currently in a pre-launch phase. Pricing and billing terms will be added to these Terms before any charges are introduced; we'll notify active accounts in advance. During pre-launch, the Service is provided at no cost on an as-available basis.

7. Termination

You may close your account at any time. We may suspend or terminate access for violations of these Terms, the Acceptable Use Policy, or for legal compliance. We'll provide a reasonable export window for Your Content unless circumstances (legal hold, abuse, etc.) prevent it.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by law. We don't guarantee the Service will be uninterrupted, error-free, or that AI output will meet a particular standard of accuracy.

9. Limitation of Liability

To the maximum extent permitted by law, Red Barn Software's aggregate liability for any claim arising out of these Terms or the Service is limited to the amount you paid us in the twelve months prior to the claim, or one hundred U.S. dollars, whichever is greater.

10. Indemnification

You agree to indemnify and hold Red Barn Software harmless from claims arising out of Your Content, your violation of these Terms, or your misuse of the Service.

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Virginia.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced to active accounts. Continued use of the Service after the effective date of an update constitutes acceptance of the revised Terms.
